COMPANYCAM PAYMENTS TERMS AND CONDITIONS

These Payments Terms and Conditions (these “Terms” or this “Agreement”) govern your use of CompanyCam’s payment processing services (“Payments Service(s)”) and form a binding agreement between CompanyCam, Inc. and its affiliates (“CompanyCam,” “we,” “us,” or “our”) and you (“Customer,” “you,” or “your”). By using our Payment Services, you agree to these Terms. These Terms are supplemental to the CompanyCam Terms and Conditions Agreement.
PLEASE NOTE THAT YOUR USE AND ACCESS TO THE PAYMENTS SERVICES IS SUBJECT TO THE FOLLOWING TERMS. IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE OR ACCESS THE PAYMENTS SERVICES. THE PAYMENTS SERVICES ARE INTENDED FOR COMMERCIAL USE ONLY AND NOT FOR PERSONAL, FAMILY, OR HOUSEHOLD USE.
1. PAYMENTS SERVICES OVERVIEW.
1.1 Services Description. The Payments Service is a white-labeled payment solution that enables you to accept, process, and manage customer payments through various payment methods, including credit cards, ACH, Apple Pay, and Google Pay. Payments that you initiate through the Payment Service are processed by the third-party payment processor that we enable you to access through the Payment Service. Payment processing services are provided by a third-party payment processor, Stripe, Inc. (“Stripe). CompanyCam is not a bank, money services business, or other financial institution and will not hold funds from a payment transaction at any time; rather, CompanyCam is a supplier of the Services (as described in the CompanyCam Terms and Conditions) and the Payments Services as further described in these Terms. CompanyCam is not considered by the parties to be a payment processor, and Stripe shall be the sole provider of payment processing services to you under these Terms.
1.2 Features. If you register for or use the Payments Service, you may use the Payments Service to access payment processing services provided to you by Stripe, including the processing of credit card payments, and, if eligible, ACH payments, Apple Pay payments, and Google Pay payments, through your CompanyCam account; process full refunds; and allow your end users to make payment to you electronically. By registering to use the Payments Service, you create a CompanyCam payments account (“Payments Account”). From time to time, we may introduce or make available to you new features or tools, your use of which shall be governed by these Terms unless otherwise expressly agreed to. Such offerings may be subject to additional fees and/or terms disclosed to you when you sign up or enable any such feature or tool. Your use of any such feature or tool may also be subject to your acknowledgment and agreement of applicable third-party terms, which will be disclosed to you at the time of sign up or enablement.
1.3 Tap to Pay. You and any user on your Payments Account with payment collection permission may be able to accept payments through tap-to-pay on eligible iOS or Android devices, as made available by Stripe and CompanyCam (“Tap to Pay”). To enable this feature, if available, either you or an individual authorized to act on your behalf may be required to connect an Apple Account to your business and accept the Apple Terms during the initial setup. It is your responsibility to ensure that only authorized users take these actions. Unless otherwise indicated on our pricing page or in your Payments Account billing section, the fees for using Tap to Pay are the fees set forth in the payment settings feature within the Payments Service. All Tap to Pay transactions are subject to the Stripe Terms (as defined herein), the Apple Terms (if applicable), and these Terms. CompanyCam and Stripe reserve the right to limit or discontinue Tap to Pay at any time and may restrict its availability by jurisdiction or other criteria.
1.4 Payment Limitations. We reserve the right to limit or cap or to refuse to complete any payment transaction initiated through the Payments Service, for any reason, in our sole discretion, without incurring any liability to you.
1.5 Business Purposes. The Payments Service may only be used for business purposes. You agree not to use the Payments Service for personal, household, or family purposes. You also agree not to use the Payments Service for the purpose of any business other than the business you used to register for the Services.
2. REGISTRATION & PAYMENT INFORMATION
2.1 Accuracy of Information. You are responsible for all the information you provide in connection with registering for and using the Payments Service. You hereby represent and warrant that you are providing true, accurate, and complete information to CompanyCam and Stripe, and shall fully indemnify CompanyCam for any losses, costs, or expenses incurred by CompanyCam, including without limitation attorneys’ fees and other legal expenses, or any third party arising as a result of your failure to provide accurate, timely, and complete information.
2.2 Verification; Account Information. To verify your identity, we may require additional information, including your company registration number or business number, your business name, address, and contact information; tax identification numbers; bank account information for settlements; beneficial ownership information as required by law; and any other information reasonably requested by CompanyCam or Stripe. You agree to provide all requested information to us in a timely manner. Your failure to comply with any of these requests in a timely manner may result in suspension, termination, or limitation of any access to the Payments Service.
2.3 User Authorization. If you subscribe to use, or in any other way enable directly or indirectly, the Payments Service, you hereby authorize CompanyCam to collect certain payment information and data (including account and transaction data, and certain personal information about your end users), and to store, use, and process such information data for the purposes of providing the Payments Service, marketing the Payments Service (provided such personal information and payment data is aggregated and deidentified), and as otherwise set out in our Privacy Policy.
2.4 User Responsibilities. You assume sole and exclusive responsibility for your use of the Payments Service. You also assume sole and exclusive responsibility for any transactions and other activity you engage in connection with the Payments Service. You are solely responsible for verifying the identity of your clients and of the eligibility of a presented payment method. We do not guarantee or assume any liability for transactions authorized and completed that may later be refunded, reversed, charged back, or otherwise disputed. You are solely responsible for all refunded, reversed or charged back transactions regardless of the reason for, or timing of the refund, reversal, chargeback or other dispute. It is your responsibility to obtain your customers’ consent to be billed for each transaction or, as the case may be, on a recurring basis, in compliance with applicable legal requirements and the requirements of Visa, MasterCard, American Express, or other applicable card networks. For greater certainty, you acknowledge and agree that it is your responsibility to ensure that you comply with all applicable rules, guidelines, and terms of use of any applicable card network.
2.5 Account Approval. Your ability to use the Payment Services is subject to approval by both CompanyCam and Stripe. We reserve the right to decline service or terminate Payments Accounts at our discretion.
3. PROCESSOR TERMS
3.1 Stripe Terms. By accepting these Terms, you are also accepting and agreeing to be bound by the Stripe Connected Account Agreement available at https://stripe.com/legal/connect-account, the Stripe Services Agreement available at https://stripe.com/legal/ssa, and any other applicable Stripe terms indicated therein (collectively, the “Stripe Terms”). The Stripe Terms serve as the legal agreement between you and Stripe. The Stripe Terms establish your direct relationship with Stripe for payment processing services. We are not a party to any of the Stripe Terms and are not liable to you in respect thereof.
IN ORDER TO USE THE PAYMENTS SERVICE, YOU MUST FIRST AGREE TO THE STRIPE TERMS AND ANY OTHER TERMS APPLICABLE IN YOUR JURISDICTION, AND ANY OTHER APPLICABLE STRIPE TERMS INDICATED THEREIN, ALL OF WHICH ARE HEREBY INCORPORATED BY REFERENCE INTO THESE TERMS. BY ORDERING, REGISTERING FOR, OR USING THE PAYMENTS SERVICE, YOU HEREBY REPRESENT AND WARRANT THAT YOU HAVE READ THE STRIPE TERMS AND AGREE TO BE BOUND BY THEM.
The Payments Service is made available to users in good standing, and at the sole discretion of CompanyCam at all times. CompanyCam reserves the right to collect certain additional information from you from time to time in order to provide the Payments Service. You agree to provide all requested information to CompanyCam in a timely manner and acknowledge you may not be able to access or use the Payments Service until you provide such information.
3.2 Payment Processor; Inconsistencies. CompanyCam reserves the right to change the payment processor, subject to the terms of our agreement with Stripe. In the event of any inconsistency between these Terms and the Stripe Terms, these Terms shall prevail except in the event of any inconsistency between these Terms and the Stripe Terms concerning payment processing or your account with Stripe, in which case the Stripe Terms shall prevail.
3.3 Risk Assessments. CompanyCam currently uses a third-party provider, LexisNexis, to conduct internal risk assessments as part of our internal due diligence process. You authorize us to retrieve additional information about you from third parties, including through LexisNexis, and other identification services.
4. USER COVENANTS
4.1 Covenants. You are required to obey all laws, rules, and regulations applicable to your use of the Payments Service, including without limitation any applicable laws or rules which may prohibit or restrict your ability to assess a surcharge for the use of a card or otherwise processed through the Payments Service. You hereby covenant, represent, and warrant that you will not use the Payments Service for any personal, illegal, deceptive, or fraudulent activity, including for any prohibited businesses, including, without limitation, any activities set out on the Stripe Prohibited Business list found here: https://stripe.com/ca/restrict…. CompanyCam hereby reserves the right, in its sole discretion, at any time, to suspend or terminate your Payments Account if we have a good faith reason to believe that anyone is using your Payments Account or access and have engaged in any fraudulent or illegal activities, or are engaging in prohibited business activity, and to provide any relevant information to the applicable authorities in connection with any investigation of the same. Without limiting any other rights CompanyCam may have in these Terms, CompanyCam further reserves the right, in its sole discretion, at any time, to terminate or suspend your Payments Account, or amend the payout schedule on your Payments Account (i.e. the speed at which you receive funds in your connected bank account), or take such other action as we determine appropriate, if we have a good faith reason to believe that your use of the Payments Service exposes us to any actual or potential risk or harm, including, but not limited to, fraud and other criminal acts. You hereby grant us authorization to share information with law enforcement about you, your transactions through the Payments Service, and your use of the Payments Service.
4.2 Compliance Monitoring. We reserve the right to monitor your Payments Account for compliance with prohibited business restrictions and these Terms and may suspend or terminate the Payments Services for any actual or potential violations.
5. AUTHORIZED ACTIVITIES & DATA SHARING
5.1 Platform Services Authorization. By agreeing to these Terms, you authorize CompanyCam to: (i) access and use your Connected Account data as necessary to provide the Payment Services and conduct our risk management processes; (ii) conduct activities on your behalf through the Stripe Connect platform, including processing payment transactions, managing refunds and disputes, providing customer support, accessing transaction and account data, and communicating with Stripe regarding your Payments Account; (iii) share your Connected Account data with Stripe as necessary to provide the Payments Services; and (iv) sharing information about your activity over the Payments Service for regulatory or compliance purposes.
5.2 Data Processing Consent. You consent to CompanyCam and Stripe collecting, processing, and sharing data related to your Payments Account and transactions, including transaction data and payment information, your business and personal information, your customers’ payment and personal data, and Payments Account activity and usage data
5.3 Customer Data Responsibilities. You represent and warrant that you have obtained all necessary consents and provided all required notices to enable CompanyCam and Stripe to lawfully process customer data in connection with the Payment Services.
6. FEES & TAXES
6.1 Transaction & Processing Fees. You agree to pay the applicable fees for processing, as disclosed during account setup or as otherwise agreed in writing, which apply to the processing of any transactions using the Payments Service.
6.2 Authorization to Charge Payment Methods on File. To the extent permitted by law, we may collect any obligations you owe us under this Agreement by requesting that the Processor deduct the corresponding amounts from funds payable to you arising from the processing of transactions through the Payments Service. Fees will be assessed at the time a transaction is processed and will be first deducted from the funds received for such transaction. If these amounts are not sufficient to meet your obligations to us, we may charge the payment method associated with your account for any amounts owed to us. In addition, you authorize us to charge any payment method we have on file for you, including your external deposit account, for in the amount of any Losses we may incur related to your use of the Payments Service, or any other amount you owe us. To collect such charges, you expressly authorize us to (a) initiate individual or recurring debit entries to any bank account we have on file for you or your affiliated accounts (e.g., ACH debits), and (b) charge any credit or debit card account we have on file for you or your affiliated accounts. If any debit entry or charge is rejected, you agree to immediately pay the amount due directly to us and authorize us to initiate other debit entries and charges at any time and from time to time in any amount up to the amount due until the amount due is paid in full. We are not responsible for any amount you or your affiliated accounts may incur from our charges, including overdraft and overlimit fees. For purposes of these Payments Service Terms, “Losses” include chargebacks, refunds, returns, shortfalls, adjustments, settlements, losses, liabilities, damages, fines, penalties, fees, costs, and expenses including without limitation attorneys’ fees, and other legal expenses.
6.3 Settlement. Stripe will settle funds to your designated bank account according to your payout schedule, minus applicable fees, chargebacks, refunds, and other adjustments.
6.4 Reserves and Holds. Stripe may establish reserves or place holds on your funds as described in the Stripe Terms. CompanyCam is not responsible for funds held by Stripe.
6.5 Taxes. You are obligated to pay all applicable taxes, fees, and other charges imposed by any governmental authority, including, without limitation, any value added tax, goods and services tax, harmonized sales tax, and/or provincial or territorial sales tax on the Payments Service. If you are tax-exempt, you will provide us with an appropriate certificate or other evidence of tax exemption that is satisfactory to us.
6.6 Fee Increases. We reserve the right to revise our fees at any time and revised fees will take effect fourteen (14) days after notice of the increase has been posted on the CompanyCam website or application. If you continue to use the Payments Service, then you are deemed to have accepted the change in fees contemplated by such notice. If there is a discrepancy between the fees noted in the billing section of your Payments Account, and the fees listed on our pricing page, those listed in your Payments Account shall apply.
7. PAYMENT-RELATED ISSUES
You are financially liable to Stripe for the full amount of all disputes, chargebacks, refunds, and related fees, regardless of any agreement you may have with CompanyCam regarding liability sharing.
As between you and your end users, all payment disputes between you and your customers arising in connection with your use of the Payments Service are between you and such end users, and not you and CompanyCam or CompanyCam and your end users. CompanyCam shall not be liable or responsible in any way for any payment dispute between you and any third party that uses the Payments Service feature to process payments. You hereby agree to indemnify, defend, and hold CompanyCam harmless for any chargebacks, refunds, returns, shortfalls, adjustments, settlements, losses, liabilities, damages, fines, penalties, fees, costs, and expenses including without limitation attorneys’ fees, and other legal expenses or claims incurred by CompanyCam in connection with any payment dispute arising between you and any end user or other third party.
8. COMPLIANCE
You agree that you shall comply with all laws, regulations, and rules applicable to your receipt and use of the Payments Service, including the card network and NACHA rules, and you will use the Payments Service for only lawful or permitted purposes. We have the right to audit your compliance. You agree that you will comply with all documentation we provide to you from time to time that sets forth additional requirements for use of the Payments Service. The Payments Service may not work or may not work correctly if you do not comply with instructions and/or documentation. You are responsible for your compliance with all applicable laws (including, for example, those governing consumer protections, unfair competition, anti-discrimination, or false advertising). In addition, you may not use the Payments Service for the following activities: (i) acting as a money services business, money transmitter, payment intermediary, aggregator or service bureau or otherwise resell our services on behalf of any third party; (ii) using the Payments Service to process cash advances to your clients; (iii) using the Payments Service for what you believe to be potentially fraudulent authorizations or fraudulent transactions; (iv) attempting to create a substitute or similar service through the use of, or access to, the Payments Service; or (v) using the Payments Service, or a component of the Payments Service, in a manner not authorized by us or outside of the intended use of the Payments Service.
9. DISCLAIMER & COMPANYCAM LIMITATION OF LIABILITY
The Payments Service is provided ‘as is’ and ‘as available’ without any warranties, either express, implied, or statutory. Use of the Payments Service is at your own risk. In addition to the limitations of liability set out in the CompanyCam Terms and Conditions in connection with use of the Services, because the Payments Service is provided and hosted by a third party service provider, we are not responsible for, and expressly disclaim all damages, whether direct and indirect, incidental, consequential, special, or other damages in connection with: (a) any technical issues, errors, unavailability or failures, losses, damages, loss of data, lost profits, or other losses or claims originating from or arising in connection with Stripe’s platform; (b) any unauthorized access, hacking, or tampering with or to your Payments Account or the services provided by Stripe or by third parties; or © any software, bugs, viruses, Trojan horses, or other harmful or malicious code that may be transmitted via Stripe’s platform.
In certain circumstances detailed in the Stripe Terms, Stripe withhold or delay processing transfers and transactions and CompanyCam shall not be responsible in any way for any such action taken by Stripe. In addition, you specifically acknowledge that CompanyCam cannot ensure that your customers will complete a transaction or are authorized to do so.
10. TERM & TERMINATION
10.1 Term. These Terms are effective upon the date you agree to it (by electronically indicating acceptance) and continue so long as you use the Payments Service or until terminated by you or by CompanyCam in accordance with Section 10.2 below.
10.2 Termination. You may terminate this Agreement by closing your Payments Account at any time by contacting support@companycam.com. We may terminate this Agreement and close your Payments Account at any time, for any reason or no reason, upon notice to you. We may suspend your Payments Account and your access to the Payments Service and any rights in respect of your Payments Account, or terminate this Agreement at any time, for any reason, including if: (i) we determine that you may be ineligible for the Payments Service because of the risk associated with your Payments Account, including, without limitation, significant credit or fraud risk, or for any other reason; (ii) you do not comply with any of the provisions of this Agreement or the Stripe Terms; or (iii) upon request of the payment network or Stripe. Termination of the Stripe Terms may, at the discretion of CompanyCam, result in a termination of this Agreement. Termination of this Agreement shall entitle CompanyCam to cause Stripe to terminate the Stripe Terms.
10.3 Effects of Termination. Upon termination and closing of your Payments Account, we will immediately discontinue your access to the Payments Service and all data and material available therein. You agree to complete all pending transactions, immediately remove all logos for cards, and stop accepting new transactions through the Payments Service. You will not be refunded the remainder of any fees that you have paid for the Payments Service if your access to or use of the Payments Service is terminated or suspended. Any funds in Stripe’s custody will be paid out to you subject to the terms of your Payout Schedule (as defined in the Stripe Terms).
Termination does not relieve you of your obligations as defined in this Agreement, and Stripe and/or CompanyCam, as applicable, may elect to continue to hold any funds deemed necessary, pending resolution of any other terms or obligations defined in this Agreement, including, but not limited to, chargebacks, fees, refunds, or other investigations or proceedings.
Termination of this Agreement will not necessarily terminate your account for the Service, unless CompanyCam determines otherwise.
Upon termination you agree: (i) to immediately cease your use of the Payments Service; (ii) that the license granted under this Agreement shall end; (iii) that we reserve the right (but have no obligation) to delete all of your information and account data stored on our servers; (iv) that we will not be liable to you for compensation, reimbursement, or damages in connection with your use of the Payments Service, or any termination or suspension of the Payments Service, or deletion of or inability to access your information or account data; and (v) that you must pay us any unpaid amount that was due prior to termination and will still be liable to us for any fees or fines, or other financial obligation incurred by you or through your use of the Payments Service prior to termination. If your Payments Account has been terminated for a breach of these Terms, then you are prohibited from creating a new Payments Account using a different name, email address or other forms of account verification.
11. CUSTOMER SERVICE
CompanyCam will use its commercially reasonable efforts to provide you with customer support to help resolve issues relating to the Payments Service. Stripe retains sole and exclusive responsibility for payment processing of transactions, including the settlement of funds, but CompanyCam will provide reasonable assistance in liaising between you and Stripe concerning the payment processing services. You assume sole and exclusive responsibility for providing customer service or support to your customers for any and all issues related to your products and services, including, but not limited to, issues arising from the processing of cards through the Payments Service.
12. GENERAL; UPDATES TO THESE TERMS
All provisions of the CompanyCam Terms and Conditions apply to the Payments Service. These Terms may be updated by CompanyCam from time to time in accordance with the terms on updates set out in the CompanyCam Terms and Conditions.
